Welcome to GadaFundAm.com ("GadaFundAm", "we", "our", or "us"), a Nigerian crowdfunding platform dedicated to supporting creators of animation, comics, games, graphic novels, digital art, and other creative projects across Nigeria and Africa.

These Terms and Conditions ("Terms") govern your access to and use of GadaFundAm.com, including all associated websites, mobile applications, services, and features.

By creating an account, browsing the Platform, launching a campaign, contributing to a campaign, or otherwise using GadaFundAm.com, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Platform immediately.

1. Definitions

For the purposes of these Terms:

• Platform means GadaFundAm.com, including all services, software, websites, applications, and related technologies.
• Creator means any individual, company, studio, organisation, or team that creates and manages a crowdfunding campaign.
• Backer means any person or organisation that financially supports a campaign.
• Campaign means a fundraising project published on the Platform.
• Funding Goal means the target amount specified by a Creator.
• Milestone means a predefined stage of project completion that qualifies a Creator to receive a scheduled portion of campaign funds.
• Content includes text, images, videos, artwork, software, audio, logos, trademarks, source files, game builds, animations, and any other material uploaded to the Platform.

2. Eligibility

To use GadaFundAm, you must:

• Be at least eighteen (18) years old.
• Have the legal capacity to enter into binding agreements.
• Provide complete and accurate registration information.
• Maintain the accuracy of your account information.
• Own or have lawful authority to use the bank account submitted for payouts.
• Comply with all applicable laws of the Federal Republic of Nigeria.

Businesses and registered organisations may also use the Platform through authorised representatives.

3. About GadaFundAm

GadaFundAm is a crowdfunding platform designed specifically for creators in the animation, comics, games, digital art, and interactive entertainment industries.

The Platform allows creators to present projects to potential backers who may voluntarily contribute funds.

GadaFundAm:

• Is not the owner of any campaign.
• Does not employ campaign creators.
• Does not guarantee that projects will be completed.
• Does not guarantee delivery of rewards.
• Does not guarantee financial returns.
• Is not an investment platform.
• Does not provide financial or legal advice.

Creators remain solely responsible for the successful completion of their projects.

4. Permitted Projects

Projects eligible for crowdfunding include, but are not limited to:

• Animated films
• Animated television series
• Animated shorts
• Video games
• Mobile games
• PC games
• Console games
• Comics
• Manga
• Graphic novels
• Children's books
• Webtoons
• Board games
• Tabletop games
• Visual novels
• Educational animation
• Creative technology projects
• Digital art
• African storytelling initiatives
• Other creative projects approved by GadaFundAm

5. Prohibited Campaigns

The following campaigns are prohibited:

• Illegal activities
• Hate speech
• Violence or promotion of terrorism
• Pornographic or sexually explicit material
• Pyramid schemes
• Multi-level marketing schemes
• Gambling
• Sale of controlled substances
• Weapons
• Counterfeit goods
• Fraudulent fundraising
• Misleading claims
• Copyright infringement
• Trademark infringement
• AI-generated impersonation without consent
• Political fundraising
• Religious fundraising intended to deceive
• Medical fundraising involving false claims

GadaFundAm reserves the right to remove any campaign that violates these Terms without prior notice.

6. Campaign Review

Every campaign may be reviewed before publication.

Creators may be required to submit:

• Government-issued identification
• CAC registration documents (where applicable)
• Proof of ownership of intellectual property
• Production schedules
• Budgets
• Concept artwork
• Team information
• Story outlines
• Previous work
• Banking verification documents

Approval of a campaign remains solely at the discretion of GadaFundAm.

7. Funding Model

Creators may choose a funding goal and campaign duration.

When a campaign reaches its funding goal, it is classified as Fully Funded.

Successfully funded campaigns become eligible for payout according to GadaFundAm's milestone-based disbursement process.

Campaigns that do not reach their funding goals will be handled in accordance with the campaign funding model selected and any applicable Platform policies.

8. Milestone-Based Fund Releases

To encourage accountability, transparency, and responsible project management, GadaFundAm does not release all campaign proceeds immediately after a campaign is successfully funded.

Instead, campaign funds are released in multiple tranches based on milestone achievement.

Once a campaign reaches its full funding goal:

• Funds will be prepared for release.
• Payments will only be made to the verified bank account registered by the Creator.
• Funds will be released in agreed milestone payments.
• The Creator must submit evidence demonstrating successful completion of each milestone before the next payment is released.

Evidence may include:

• Updated production schedules
• Storyboards
• Animation sequences
• Game prototypes
• Playable builds
• Concept art
• Financial expenditure reports
• Progress reports
• Videos
• Screenshots
• Other documentation requested by GadaFundAm

If milestone evidence is satisfactory, the next tranche will be released.

GadaFundAm reserves the right to delay, suspend, reduce, or refuse subsequent payments where:

• Milestones have not been completed.
• False information has been provided.
• Fraud is suspected.
• Campaign funds are being misused.
• The Creator has materially breached these Terms.
• Significant concerns are raised by backers and verified during investigation.

9. Platform Fees

For every successfully funded campaign:

• Platform Fee: Three percent (3%) of the total amount raised.
• Transaction Processing Fee: Two percent (2%) of the total amount raised.

These fees are deducted before any milestone payouts are made.

Additional payment processing charges imposed by banks or third-party payment providers may also apply where required.

10. Creator Responsibilities

Creators agree to:

• Provide truthful information.
• Deliver projects substantially as described.
• Use campaign funds responsibly.
• Maintain regular communication with backers.
• Publish project updates.
• Notify backers of delays.
• Complete milestones honestly.
• Comply with all applicable laws.

Creators remain solely responsible for fulfilling campaign promises.

11. Backer Responsibilities

Backers acknowledge that:

• Contributions are voluntary.
• Crowdfunding carries inherent risks.
• Delays may occur.
• Projects may change during production.
• Contributions are not investments.
• Contributions do not create ownership rights unless expressly stated by the Creator.

12. Refund Policy

Contributions are generally non-refundable once payment has been successfully processed.

Refunds may only be considered in limited circumstances, including:

• Duplicate payments
• Payment processing errors
• Proven fraud
• Campaign cancellation before funds are released
• Circumstances required by applicable law

Refund requests are reviewed on a case-by-case basis.

13. Intellectual Property

Creators retain ownership of all intellectual property submitted to the Platform.

By publishing content on GadaFundAm, Creators grant GadaFundAm a worldwide, non-exclusive, royalty-free licence to display, reproduce, distribute, and promote campaign materials solely for operating and marketing the Platform.

Backers do not acquire ownership rights in any intellectual property unless expressly stated by the Creator.

14. User Conduct

Users agree not to:

• Misrepresent their identity.
• Upload malicious software.
• Attempt unauthorised access.
• Harass other users.
• Circumvent security measures.
• Engage in fraudulent activity.
• Interfere with Platform operations.

Violations may result in immediate suspension or permanent termination.

15. Verification

GadaFundAm may conduct identity verification, bank verification, business verification, or other due diligence at any time.

Failure to complete requested verification may result in suspension of campaigns, delayed payouts, or account termination.

16. Suspension and Termination

GadaFundAm reserves the right to suspend or terminate any account or campaign that:

• Violates these Terms.
• Engages in fraud.
• Presents legal or reputational risk.
• Fails verification.
• Misuses campaign funds.
• Infringes intellectual property rights.

17. Limitation of Liability

To the fullest extent permitted by Nigerian law, GadaFundAm shall not be liable for:

• Project failure.
• Creator misconduct.
• Reward fulfilment.
• Delays.
• Loss of profits.
• Indirect damages.
• Third-party payment failures.
• Internet outages.
• Force majeure events.

Our total liability shall not exceed the Platform fees received in connection with the relevant campaign.

18. Privacy

Your use of GadaFundAm is also governed by our Privacy Policy, which explains how personal information is collected, processed, stored, and protected in accordance with applicable Nigerian data protection laws.

19. Third-Party Services

The Platform may integrate third-party services including payment processors, identity verification providers, cloud hosting services, analytics providers, and communication platforms.

GadaFundAm is not responsible for the services, policies, or actions of third-party providers.

20. Changes to These Terms

We may revise these Terms from time to time.

Updated Terms become effective immediately upon publication on GadaFundAm.com.

Your continued use of the Platform constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved amicably, it shall be submitted to mediation or arbitration where appropriate, or to the competent courts of Nigeria, which shall have exclusive jurisdiction.

By registering an account, creating a campaign, backing a campaign, browsing the Platform, or using any services provided by GadaFundAm.com, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.

If you do not agree with these Terms, you must not access or use GadaFundAm.com.
